Tekkerz Affiliate Program - Terms & Conditions

1) Program Overview & Acceptance

Tekkerz LLC (“Tekkerz,” “we,” “us”) operates an affiliate program (“Program”) for independent marketers (“Affiliates”) who introduce organizations to Tekkerz custom online store solutions. Your participation begins when you apply and receive written acceptance from Tekkerz.

2) Independent Contractor Status

You are an independent contractor—not an employee, partner, franchisee, joint venturer, or agent of Tekkerz. You have no authority to bind Tekkerz, make commitments, quote pricing, or represent policies on our behalf.

3) Eligibility & Application

• You must be 18+ and able to enter a binding contract.
• Provide accurate application details and keep them up to date.
• Tekkerz may approve or reject any application at its discretion.

4) Responsibilities & Conduct

• Promote Tekkerz truthfully and professionally; no misleading or deceptive claims.
• Comply with all applicable laws, school/league rules, advertising standards, and platform policies.
• No spam, unsolicited bulk messaging, fake reviews, or unauthorized incentives.
• Disclose your affiliate relationship where required (e.g., FTC disclosures).

5) Branding, Trademarks & Assets

• All Tekkerz names, logos, and materials are our intellectual property.
• You may use only approved assets for the sole purpose of Program promotion.
• You may describe yourself as a “Tekkerz Affiliate Marketer.”

Strictly prohibited: representing or implying that you are Tekkerz, that you speak for Tekkerz, or that you have authority to contract on Tekkerz’s behalf.

6) Commissions & Payment

• Affiliates earn a commission percentage per store successfully established through their qualified referral, as communicated in writing at onboarding or in your affiliate dashboard (if applicable).
• Commissions are paid only on active, completed, and fully paid stores. Refunded, canceled, fraudulent, or duplicate stores do not qualify.
• Unless otherwise stated, payouts are processed monthly within 30 days after month end, subject to thresholds and tax documentation (e.g., W-9 for U.S.).
• You are responsible for all taxes associated with commissions.

7) Tracking & Attribution

• Where applicable, Tekkerz tracking links or internal assignment determine referral attribution.
• If multiple sources claim the same referral, Tekkerz will decide attribution in good faith at its sole discretion.

8) Confidentiality & Data

• Non-public information you receive (pricing, customer data, playbooks, designs, etc.) is confidential. Do not disclose or misuse it.
• Handle any personal data you collect in compliance with applicable privacy laws and our policies.

9) Restrictions

• No bidding on “Tekkerz” trademarks (or confusingly similar terms) in search ads without written permission.
• No creation of websites or social handles that impersonate Tekkerz.
• No infringing, illegal, hateful, or adult content; no harassment or interference with Tekkerz customers or partners.

10) Term, Suspension & Termination

• These Terms apply from your acceptance into the Program until terminated.
• Either party may terminate at any time by written notice.
• Tekkerz may suspend or terminate immediately for breach, misrepresentation, fraud, or reputational risk.
• Upon termination, stop using Tekkerz assets and remove related content upon request. Eligible unpaid commissions accrued prior to termination will be handled per these Terms; commissions associated with violations may be forfeited.

11) Taxes & Expenses

You bear all costs of your promotional activities and are responsible for any tax filings and payments arising from commission income.

12) Disclaimer; Limitation of Liability

The Program and materials are provided “as is.” To the maximum extent permitted by law, Tekkerz is not liable for indirect, incidental, special, or consequential damages. Tekkerz’s total aggregate liability relating to the Program will not exceed the commissions paid to you in the twelve (12) months preceding the claim.

13) Indemnification

You agree to defend, indemnify, and hold Tekkerz harmless from claims arising out of your promotions, content, or breach of these Terms.

14) Changes to the Program or Terms

Tekkerz may update the Program or these Terms at any time. Continued participation after changes are posted constitutes acceptance of the updated Terms.

15) Governing Law

These Terms are governed by the laws of the state where Tekkerz is headquartered, without regard to conflict-of-law rules. Venue for disputes will be in that jurisdiction’s courts.
